Mi-PA™ Website Terms & Conditions

1.Introduction

These Terms form an agreement between you and WALT Enterprises, the business owner of the Mi-PA™ project, regarding your use of this website. Please also read our Privacy Policy, which forms part of these Terms.

2.Definitions

• "WALT Enterprises", "we", "us", "our" means the business owner of the Mi-PA™ project.
• "Mi-PA" means the Mi-PA™ (Multi-Integrated Platform Automation™) project, brand and platform.
• "Website" means the website at www.getmipa.com and its subpages.
• "Early Access" means the Early Access registration programme offered through the Website.
• "Content" means all text, graphics, designs, logos, code, documentation and other materials on the Website.
• "you" or "user" means any person who accesses or uses the Website.

3.Website purpose

The Website provides general information about Mi-PA and operates an Early Access registration programme. The Website is not itself the Mi-PA software product or service, and use of the Website does not grant access to any Mi-PA product or service.

4.Early Access

Submitting an Early Access request does not:

• guarantee access to Mi-PA;
• guarantee acceptance of your request;
• guarantee any launch date;
• create a subscription;
• constitute a purchase;
• guarantee any pricing;
• guarantee any specific functionality;
• create a customer relationship; or
• create an obligation for WALT Enterprises to provide the service.

Early Access registration simply allows us to record your interest and communicate with you about it.

5.Product information

Mi-PA is under active development. The Website describes Mi-PA's intended Business Operating System architecture and capabilities. References on the Website to capabilities including People, Clients, Sales & CRM, Projects, Operations, Job Cards, Assets, Finance, Inventory & Procurement, Service & Support, Call Logging, Communications, Meetings, Scheduler, Resource Planning, Documents, Knowledge, My Workspace, Business Operations, Workflow, Tasks, Approvals, Mission Control, Mi-PA IQ, Insight Engine, Business Intelligence, Reporting, Timeline, Search, Compliance, Country Readiness, Customer Portal, Supplier Portal, Mobile, Time & Attendance and Integrations describe the product direction and/or capabilities.

Such references must not be interpreted as a guarantee that every listed capability is currently available. Any capability may be available, under development, being tested, planned, subject to change, subject to technical dependencies, or subject to commercial availability.

6.Future product development

Mi-PA continues to evolve. We may add, change, delay or discontinue capabilities, and nothing on the Website is a commitment that any particular capability will be released, or released in any particular form or timeframe.

7.Intellectual property

All intellectual property in and relating to Mi-PA and the Website is owned by or licensed to WALT Enterprises, including without limitation Mi-PA™, Multi-Integrated Platform Automation™, the Mi-PA logo, the visual identity, the tagline, the Website, software, source code, architecture, designs, documentation, graphics, text, databases, product concepts, presentations and downloadable materials.

Mi-PA™ and Multi-Integrated Platform Automation™ are used as trade mark claims. They are not claimed to be registered trade marks. Except as expressly permitted, you may not reproduce, copy, distribute, republish, commercially exploit, reverse engineer, or create derivative works from any Content, in whole or in part, without our prior written permission. Nothing in these Terms limits rights that cannot lawfully be restricted.

8.Limited website licence

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and view the Website for lawful, informational and non-commercial purposes. No other rights are granted.

9.Prohibited conduct

You must not:

• use the Website for any unlawful activity;
• hack, gain or attempt unauthorised access, or bypass security;
• introduce malicious software or launch attacks against the Website or its infrastructure;
• impersonate any person or entity;
• engage in abusive scraping or automated collection that burdens or disrupts the Website;
• infringe intellectual property or other rights;
• disrupt or misuse the Website or its infrastructure; or
• attempt to obtain confidential information you are not authorised to access.

10.Security

We take reasonable measures to protect the Website. You must not attempt to circumvent, test or defeat security features without authorisation. If you become aware of a security vulnerability, please report it responsibly to info@getmipa.com.

The Website may contain links to, or load resources from, third-party services. We do not control and are not responsible for the content, policies or practices of third parties, and links do not imply endorsement.

12.Website availability

We aim to keep the Website available, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. The Website may be unavailable or interrupted for maintenance, technical reasons or circumstances beyond our reasonable control.

13.Accuracy and disclaimer

Information on the Website is provided for general information only. To the maximum extent permitted by applicable law, we do not guarantee that Website information is accurate at every moment, complete, current, uninterrupted or error-free, and we may change Website information at any time.

14.No professional advice

Mi-PA is a business platform and the Website does not itself constitute legal, tax, accounting, HR, financial, engineering, safety or other professional advice. You should obtain your own professional advice before relying on any information in a specific situation.

15.No guarantee of business outcomes

To the maximum extent permitted by applicable law, we do not guarantee any particular business outcome from Mi-PA or the Website, including increased revenue, cost savings, productivity improvements, regulatory compliance, elimination of human error or elimination of business risk.

16.Limitation of liability

To the maximum extent permitted by applicable law, WALT Enterprises will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of, or inability to use, the Website.

Nothing in these Terms excludes, restricts or limits any liability, right or remedy that cannot lawfully be excluded, restricted or limited, including any rights you may have under mandatory consumer-protection law. Where liability cannot be excluded but may lawfully be limited, our liability is limited to the minimum extent permitted by applicable law.

17.Consumer rights

These Terms are subject to applicable South African consumer-protection law, including the Consumer Protection Act, 2008, where it applies. Nothing in these Terms is intended to limit or exclude any statutory right or protection that applies to you and that cannot lawfully be limited or excluded.

18.Electronic communications

Communications through the Website and by email are electronic communications and data messages recognised under South African law, including the Electronic Communications and Transactions Act, 2002. However, an electronic communication does not automatically create a binding contract or obligation in every circumstance, and any agreement is subject to these Terms and applicable law.

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Website after changes take effect constitutes acceptance of the updated Terms.

22.Governing law

These Terms are governed by the laws of the Republic of South Africa, subject to mandatory laws that may apply to international users or consumers in their own jurisdictions.

23.Jurisdiction

The courts of South Africa will have jurisdiction over any dispute arising from these Terms or the Website, subject to any mandatory rights you may have to bring or defend proceedings in another jurisdiction under applicable law.

24.Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

25.No waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other right.

26.Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and WALT Enterprises regarding your use of the Website, and supersede any prior understanding on that subject.
